Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Code Crafted Nexus LLC, a Kentucky limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the BoardSmyth AI desktop application, website at boardsmythai.com, and related software and online services (collectively, the "Service").
By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not install or use the Service.
1. The Service and Subscription Plans
1.1. Description: BoardSmyth AI is a developer productivity desktop application that assists users in writing, editing, and managing software code for microcontrollers and embedded development boards.
1.2. Subscription Plans: Access to AI generation features requires an active, paid recurring monthly subscription:
- AI-Included Plan: Provides access to our integrated AI pipeline subject to a fair-use generation allowance (currently 300 generations per billing month). We reserve the right to monitor excessive automated use.
- Bring-Your-Own-Key (BYOK) Plan: You supply your own third-party API key (such as an Anthropic API key). You are solely responsible for all fees, limits, and terms billed directly to you by your third-party API provider. Your API key is stored locally on your device in secure operating-system storage.
1.3. Merchant of Record: Payments, billing, taxes, and invoicing are processed by our merchant of record, Paddle (Paddle.com Market Ltd or its affiliates). By purchasing a subscription, you also agree to Paddle's Checkout Buyer Terms and conditions.
2. AI Output, Prompts, and Intellectual Property
2.1. Your Inputs: You retain ownership of all code snippets, prompts, specifications, and project assets you upload or submit through the Service ("Inputs"). You grant us a non-exclusive, worldwide, royalty-free license to process Inputs solely to deliver the Service.
2.2. AI-Generated Code: As between you and Code Crafted Nexus LLC, you own all rights in the output and source code produced by the Service for your projects ("Output").
2.3. No Guarantee of Output: AI-generated code is probabilistic and can produce syntax errors, logical defects, non-compiling routines, or unexpected behavior. You are solely responsible for reviewing, testing, compiling, and validating all code before flashing, uploading, or running it on physical hardware.
2.4. Company IP: The BoardSmyth AI desktop application, software code, user interface, brand assets, and documentation remain the exclusive property of Code Crafted Nexus LLC and our licensors.
3. Hardware Safety and High-Risk Exclusion
3.1. Physical Operation: Microcontrollers directly interface with electrical circuits, actuators, power supplies, and external loads. You bear 100% of the responsibility for verifying electrical pinout diagrams, voltage compatibility (e.g., 3.3V vs. 5V logic), ground loops, current consumption, and physical safety.
3.2. Safety Notice: You agree to review and strictly adhere to our Safety Notice, incorporated herein by reference.
3.3. High-Risk Use Prohibition: The Service and any Output are NOT designed, certified, or intended for use in hazardous environments, medical equipment, life-support devices, aviation, autonomous automotive control, nuclear facilities, industrial fail-safe mechanisms, or any application where software error could lead to death, personal injury, severe physical harm, or environmental damage. Any such use is strictly prohibited and at your sole risk.
4. Acceptable Use Policy
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the Service desktop client;
- Resell, lease, sublicense, or share your account credentials or subscription access with unauthorized third parties;
- Circumvent rate limits, subscription tiers, generation meters, or authentication systems;
- Use the Service to generate malicious software, exploit tools, firmware backdoors, or harmful hardware disruption code.
5. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE SERVICE AND ALL GENERATED OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. CODE CRAFTED NEXUS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT GENERATED CODE WILL COMPILE WITHOUT ERRORS, OPERATE WITHOUT INTERRUPTION, OR BE SUITABLE FOR ANY PHYSICAL HARDWARE CONFIGURATION.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
6.1. IN NO EVENT SHALL CODE CRAFTED NEXUS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, HARDWARE DAMAGE, COMPONENT BURNOUT, ELECTRICAL FIRE, PERSONAL INJURY, WORK STOPPAGE, OR DEVICE DESTRUCTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR CODE GENERATED BY THE SERVICE, REGARDLESS OF THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).
6.2. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO US (OR THROUGH PADDLE) FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR FIFTY US DOLLARS ($50.00), WHICHEVER IS GREATER.
6.3. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS OR LIABILITY LIMITATIONS FOR CONSUMERS; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
7. Trademarks
Arduino® is a registered trademark of Arduino S.r.l. BoardSmyth AI and Code Crafted Nexus LLC are independent entities and are not affiliated with, endorsed by, authorized by, or sponsored by Arduino S.r.l. or any other microcontroller hardware manufacturer. Any references to Arduino or third-party hardware platforms are strictly for descriptive, nominative identification of compatibility.
8. Termination and Updates
You may cancel your subscription at any time using the cancellation link in your Paddle receipt or by contacting support@boardsmythai.com. We reserve the right to suspend or terminate accounts that breach these Terms. We may update these Terms from time to time. Continued use of the Service following posted modifications constitutes your acceptance.
9. Governing Law and Jurisdiction
These Terms and any disputes arising out of or related hereto shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of laws principles. Any legal suit, action, or proceeding shall be instituted exclusively in the state or federal courts located in Kentucky, and you consent to personal jurisdiction therein.
